Immigration Partner Affiliate Program — Terms & Conditions

Welcome to the Learn French Canada Immigration Partner Affiliate Program. These Terms and Conditions govern your participation in our Partner Program. By registering, you agree to be bound by the terms outlined below. Please read them carefully.

1 Definitions
1.1 “Company,” “we,” “us,” “our” refers to Learn French in Canada Inc., operating as Learn French Canada (learnfrenchcanada.com).
1.2 “Affiliate,” “Partner,” “you,” “your” refers to any individual or business entity accepted into our Immigration Partner Affiliate Program.
1.3 “Program” refers to the Learn French Canada Immigration Partner Affiliate Program.
1.4 “Referral” refers to a potential customer who visits our website through your unique affiliate link, referral code, or QR code.
1.5 “Qualified Sale” refers to a completed purchase by a Referral that has passed the validation period without cancellation or full refund.
1.6 “Commission” refers to the monetary compensation earned by the Affiliate for a Qualified Sale.
1.7 “Affiliate Dashboard” refers to the online portal where Affiliates can access their tools, track performance, and manage their account.
1.8 “Affiliate Link” refers to a unique tracking URL assigned to each Affiliate for the purpose of tracking referrals and commissions.
2 Program Enrollment and Approval
2.1 To join the Program, you must complete the registration form at learnfrenchcanada.com/partners/ and provide accurate and complete information, including your full name, email address, phone number, company or firm name, and city/province.
2.2 By registering, you confirm that you are at least 18 years of age and have the legal authority to enter into this Agreement.
2.3 Learn French Canada reserves the right to accept or reject any application at its sole discretion, without obligation to provide a reason.
2.4 Your participation in the Program begins upon successful registration and email verification. We may revoke access at any time if these Terms are violated.
2.5 You may only maintain one (1) affiliate account. Duplicate accounts will be terminated.
3 Commission Structure
3.1 Commission Rate: Affiliates earn a commission on each Qualified Sale made through their Affiliate Link. The default commission rate is 10% of the purchase price, unless otherwise specified per product.
3.2 Recurring Commissions: For programs with installment payment plans, Affiliates earn commission on each monthly payment made by the referred student, not a one-time lump sum. Commissions continue for as long as the student makes payments on their enrolled program.
3.3 Product-Specific Rates: Commission rates may vary by product or program. Current rates are displayed in your Affiliate Dashboard. Learn French Canada reserves the right to modify commission rates at any time with 30 days’ prior notice.
3.4 Cookie Duration: When a potential customer clicks your Affiliate Link, a tracking cookie is placed on their browser for ninety (90) days. If the customer makes a purchase within this period, you will receive credit for the referral.
3.5 Attribution: We use a last-click attribution model. If a customer clicks on multiple affiliate links, commission is awarded to the Affiliate whose link was clicked most recently before the purchase.
4 Sales Validation and Payout Terms
4.1 Validation Period: All commissions are subject to a validation period of thirty (30) days from the date of purchase. During this period, the sale must not be cancelled, refunded, or charged back.
4.2 Minimum Payout Threshold: Affiliates may request a payout once their approved commission balance reaches a minimum of $50 CAD.
4.3 Payout Method: All payouts are processed via bank transfer (electronic funds transfer) only. Affiliates are responsible for providing accurate banking information.
4.4 Payout Processing: Payout requests are reviewed and processed within 5–10 business days of submission.
4.5 Refunds and Chargebacks: If a referred student cancels their enrollment, requests a refund, or initiates a chargeback, the corresponding commission will be reversed from your account. If the commission has already been paid, the amount will be deducted from future earnings.
4.6 Taxes: Affiliates are solely responsible for reporting and paying all applicable taxes on commissions earned. Learn French Canada does not withhold taxes from affiliate payouts. We may request a completed W-8BEN, W-9, or equivalent tax form depending on your jurisdiction.
4.7 Currency: All commissions and payouts are denominated in Canadian Dollars (CAD).
5 Affiliate Obligations and Promotional Rules
5.1 Accurate Representation: You must represent Learn French Canada and our programs honestly and accurately. You may not make false, misleading, or exaggerated claims about our courses, success rates, pricing, or guarantees.
5.2 Disclosure Requirement: In compliance with applicable advertising regulations (including the Competition Act of Canada), you must clearly disclose your affiliate relationship with Learn French Canada in all promotional materials. Examples of acceptable disclosures include:
- “I earn a commission if you enroll through my link.”
- “Affiliate partner of Learn French Canada.”
- “#ad” or “#affiliate” on social media posts.
5.3 Prohibited Promotional Methods. Affiliates may NOT:
- Use paid search advertising (Google Ads, Bing Ads) bidding on Learn French Canada brand terms, including “Learn French Canada,” “Learn French in Vancouver,” or variations thereof.
- Send unsolicited bulk emails (spam) promoting Learn French Canada.
- Create fake reviews, testimonials, or endorsements.
- Use misleading or deceptive advertising practices.
- Promote Learn French Canada on websites containing illegal, offensive, discriminatory, or adult content.
- Misrepresent themselves as employees, representatives, or agents of Learn French Canada.
- Offer unauthorized discounts, coupons, or promotions on behalf of Learn French Canada.
- Use cookie stuffing, click fraud, or any other form of artificial traffic generation.
5.4 AI-Generated Content: Affiliates may use AI tools to create promotional content, provided that all content complies with the accuracy and disclosure requirements in this Agreement, does not make exaggerated or unverifiable claims, and is reviewed before publication.
5.5 Immigration Advice: Learn French Canada provides French language education services only. Affiliates must not represent our services as immigration consulting or legal advice. Referrals should be made in the context of language preparation for immigration requirements (TEF, TCF, etc.).
6 Intellectual Property and Brand Usage
6.1 Learn French Canada grants Affiliates a limited, non-exclusive, revocable license to use our name, logo, and approved marketing materials solely for the purpose of promoting our programs through the Affiliate Program.
6.2 You may not modify, alter, or create derivative works from our logos, trademarks, or brand assets without prior written approval.
6.3 You may not register domain names, social media accounts, or other online properties that include “Learn French Canada,” “Learn French in Vancouver,” or confusingly similar variations.
6.4 All intellectual property rights in our brand, content, courses, and materials remain the sole property of Learn French in Canada Inc.
7 Confidentiality
7.1 Any non-public information shared with you as part of the Program, including commission rates, program strategies, and internal communications, is considered confidential and may not be disclosed to third parties.
7.2 You may share your own performance data (e.g., your commission earnings) but may not disclose aggregate program data, other affiliates’ information, or proprietary business information.
8 Privacy and Data Protection
8.1 Learn French Canada collects and processes personal information in accordance with our Privacy Policy and applicable Canadian privacy legislation (PIPEDA).
8.2 Affiliates do not have access to personal data of referred students beyond what is displayed in the Affiliate Dashboard (e.g., referral count, commission amounts).
8.3 You agree not to collect, store, or process personal data of potential referrals in violation of applicable privacy laws.
9 Term and Termination
9.1 Term: This Agreement is effective upon your acceptance into the Program and continues until terminated by either party.
9.2 Termination by Affiliate: You may terminate your participation at any time by contacting us at [email protected]. Approved, unpaid commissions above the minimum threshold will be paid out within 30 days of termination.
9.3 Termination by Learn French Canada: We may suspend or terminate your affiliate account at any time, with or without cause, by providing written notice via email. Grounds for immediate termination include, but are not limited to:
- Violation of any provision of this Agreement
- Fraudulent or deceptive activity
- Inactivity for twelve (12) consecutive months
- Conduct that damages or could damage the reputation of Learn French Canada
9.4 Effect of Termination: Upon termination, your Affiliate Links will be deactivated immediately. You must cease all use of Learn French Canada brand assets and marketing materials. Pending commissions that have passed the validation period will be paid if they meet the minimum payout threshold. Commissions for pending or unvalidated sales may be forfeited.
10 Limitation of Liability
10.1 Learn French Canada shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program.
10.2 Our total liability under this Agreement shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.
10.3 Learn French Canada is not responsible for technical issues, tracking errors, or third-party platform failures that may affect commission tracking.
11 Modifications
11.1 Learn French Canada reserves the right to modify these Terms and Conditions at any time. Changes will be communicated via email to the address associated with your affiliate account.
11.2 Continued participation in the Program after notification of changes constitutes acceptance of the modified terms.
11.3 If you do not agree with the modifications, you may terminate your participation as outlined in Section 9.2.
12 Governing Law and Dispute Resolution
12.1 This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles.
12.2 Any disputes arising under or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties.
12.3 If negotiation fails, disputes shall be submitted to binding arbitration in Vancouver, British Columbia, Canada.
13 General Provisions
13.1 Independent Contractor: Affiliates are independent contractors and not employees, agents, or partners of Learn French Canada. Nothing in this Agreement creates an employment, agency, or partnership relationship.
13.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements or understandings.
13.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.4 No Waiver: Failure by Learn French Canada to enforce any provision of this Agreement shall not constitute a waiver of that provision.
13.5 Assignment: You may not assign or transfer your affiliate account or any rights under this Agreement without prior written consent from Learn French Canada.
By registering for the Learn French Canada Immigration Partner Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
